Gage Intelligence Publishes Definitive Account of the Gage Cannabis Brand: Origins, Takeover, $545M Financialization, and Collapse

DETROIT, Michigan — Gage Intelligence today released Paper 016 in the LAW Intelligence series, What Is Gage Cannabis? Two Brands, One Name, and a $545 Million Question, a detailed forensic account of the Gage cannabis brand from its 2009 origins through a hostile corporate takeover, a $545 million financialization, and a $0 write-down by the acquiring entity.

The paper traces the Gage name from its beginnings in California cannabis culture, its expansion to Michigan in 2014, and the coordinated effort to appropriate the brand beginning in October 2018 — when two individuals with access to inside information formed a Delaware LLC and adopted the Gage name. Within twelve months, the entity was sold through a chain of intermediaries to TerrAscend Corp. (TSX: TSND; OTC: TSNDF) in a transaction valued at approximately $545 million.

Four years later, TerrAscend exited Michigan entirely — closing all 20 dispensaries, terminating approximately 250 employees, and writing the Gage registered mark to $0 in a 100% impairment. The original Gage brand, built since 2009, remains — and its holder is now pursuing cancellation of the registered mark through active proceedings before the Trademark Trial and Appeal Board (TTAB Opposition No. 91278331).

Key findings include:

  • Photographic evidence (2008–present) documenting GGG brand use 7–9 years before the Delaware entity existed
  • The acquisition chain: Hermiz/Reda formed Delaware entity (Oct 2018) → Wolverine Partners ($250K) → TerrAscend ($545M) → $0 impairment (FY2025)
  • Lynn Gefen signed CRA consent orders as AEY Capital "Manager" while serving as TerrAscend CLO — alter ego evidence
  • TTAB 91278331: active opposition — the applicant defaulted after a March 3, 2026 Show Cause Order
  • Employee witness testimony documenting the conscious speaker problem
